Welcome to Committed!

These Terms of Use ("Terms") are a contract between you ("User") and Pulse Dialect Ltd, registered at 71-75 Shelton Street Covent Garden, London WC2H 9JQ United Kingdom ("us", "we" or "our").

“Committed” is a digital service operated by Pulse Dialect Ltd that enables users to set, track, and manage personal goals.

Your use of Committed indicates your understanding that Committed is a trade name and service operated by Pulse Dialect Ltd, and all rights, obligations, and agreements entered into Committed are legally binding agreements with Pulse Dialect Ltd.

Within Committed, a "Commitment" is a goal that you define and track. Our services include:

Creating and managing personal commitments
Receiving customizable reminders
Gifting Commitments to other users

Committed is intended to provide motivational and tracking tools to support users in achieving their personal goals. While we strive to help users maintain their Commitments, we make no guarantees regarding the achievement of any specific outcomes or results.

Committed operate on a Commitment-based payment model, where users pay a one-time fee for each Commitment or bundle of Commitments. Each Commitment is valid for twelve (12) months from its creation date. Pricing varies based on the user's geographic location and whether individual Commitments or bundles are selected. After the twelve-month period expires, users will need to create and pay for a new Commitment if they wish to continue tracking their goals.

These Terms (which include and incorporate other policies including the Privacy Policy and the Cookie Policy) constitute the entire agreement (“Agreement”) and understanding between you and Committed regarding your use of Committed and supersedes all prior and contemporaneous written or oral agreements between you and us.

By accessing and using Committed, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy and the Cookie Policy. These Terms govern your access and use of all Committed services, including the website, application, APIs, and any communication between you and Committed. If you do not agree to these Terms, you must not access or use Committed and should immediately stop using Committed.

Committed partners with external entities, including third party service providers, regulators, legal authorities, government bodies, and affiliate organizations to deliver its Services (“Third Parties”). These parties could be involved in processing or jointly controlling personal data and collaborate with us to enhance user experience, provide services, comply with legal requirements, and share information based on user consent or applicable laws. These parties may access, process, and collect user information through APIs, advertisements, third-party content, and integrations as described in their respective privacy policies.

If any provision of the Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Credit System and Validity

Services require payment and users purchase credits ("Credits") which can be used to activate Commitments. Credits:

Are non-refundable and non-transferable once purchased
Will remain valid for twelve (12) months from the date of purchase
Have no cash value and cannot be exchanged for cash
Credits will expire twelve (12) months after and must be used before their expiration date

If unused, Credits will be automatically removed from the user's account and cannot be reinstated.

Users activate Commitments by redeeming Credits. Each activated Commitment:

Is valid for twelve (12) months from its activation date
Cannot be transferred to another user once activated
Cannot be refunded or converted back to Credits

Users may purchase Credits (or use their Credit balance) to gift to other individuals ("Gifts"). If the recipient does not claim a Gift by its activation deadline, the Credits will be returned to the purchaser's account. These returned Credits maintain their original validity period and will expire twelve (12) months from their initial purchase date.

Payment Policy

Payments are non-refundable and non-transferable unless otherwise required by applicable law.

All fees are as quoted on our website and are subject to change. We reserve the right to change our prices at any time. Prices may be displayed in your local currency where available and vary based on your geographic location. Displayed prices may not include applicable taxes, which will be added at checkout based on your location and local tax regulations. You are responsible for paying all taxes, duties, and similar charges associated with your purchase of Services.

Any price changes will not affect existing paid Commitments during their twelve (12) month validity period.

Bundle pricing and any associated discounts may vary by region and are subject to change without prior notice.

Payments are processed through secure third-party payment processors. By making a payment, you agree to comply with the terms and conditions of these payment processors including but not limited to the terms and conditions of Stripe.

You represent and warrant that you have the legal right to use any payment method(s) you provide in connection with your payment.

Commitments do not automatically renew. To continue tracking a Commitment after the twelve-month period expires, you must create and pay for a new Commitment.

If a payment fails or is declined, the Commitment will deemed not to have been created until a successful payment is processed.

We reserve the right to engage collection services and pursue legal action for any fraudulent payments or chargebacks.

Users

In order to use Committed, you will need to create a user account (“User Account”) with us. We will ask you to provide the following information that corresponds to your own identity in a correct and accurate manner:

your name and surname
your e-mail address
your password

Information relating to your User Account must be kept confidential. If you think that your User Account is compromised or being used by a third person without your consent, please notify us through an email to team@youarecommitted.com.

Committed is open to everyone subject to the following restrictions:

You must be at least 16 years old.
You are not a person prohibited from receiving any aspect of our Services under the laws of the applicable jurisdiction.
Your account was not disabled previously by Committed for violation of law or our Terms.
If you’re accepting these Terms on behalf of an organisation including a company, government, institution or any other legal entity, you have the required authority to represent and bind the organisation to these Terms.

We reserve the right to modify the user’s name, surname, or similar identifiers chosen for their account, should we determine that it is necessary or appropriate. This may occur in cases such as intellectual property infringement or impersonation of another user representing whether a real person or legal entity.

Committed grants you a personal, revocable, non-exclusive, non-transferable, limited license to use its Services strictly in accordance with the Terms.

Content

You’re responsible for what you create, share, post, collaborate and distribute on Committed. This includes but not limited to any text, audio or visual media including images, photos, videos (collectively defined as “Content”).

Content includes data, information and references from other external sites or third-party websites, applications, products, and services ("Third Parties").

We may also display, include, or make available content from Third Parties, which are provided solely as a convenience to you. Your access and use are entirely at your own risk and subject to such Third Parties' terms of use. Committed does not assume and shall not have any liability or responsibility to you or any other person or entity for any Third Parties.

When sharing any content on Committed, you must follow and safeguard Terms as well as the applicable laws and regulations. You must share content with others at your own risk, and only if and when you feel comfortable to do so.

We do not approve, endorse, or ensure the accuracy, truthfulness, completeness, or reliability of any content shared on Committed. When you use our Services, you may come across content that is offensive, harmful, inaccurate, inappropriate, or misleading. We ask our Users to report such content to us and we will take necessary actions. The responsibility for any content lies solely with the person who originated it on Committed. We do not monitor or control the Content generated by its Users on and we can not be held responsible for it.

Committed reserves its right to remove provisionally or absolutely any content that is illegal or incompatible with the Terms. This includes our right to remove, suspend or restrict your access to any Content including but not limited to circumstances where we reasonably believe it is unlawful or in breach of these Terms and Privacy Policy including any intellectual property infringements such as copyright or trademark violations or when (ii) it causes harm to us, Affiliates, our users or Third Parties.

When you upload or post content to our site, you grant us the following rights to use such content:

A worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of display, and perform that user-generated content in connection with the service provided by the website and across different media.

User Obligations

When using Committed, you agree to comply with the applicable laws the Terms and our policies including Privacy Policy and in particular with the following obligations:

You must not disclose inaccurate information.
You must keep your account details confidential and safe.
You must not disrespect the personal rights of other people.
You must not impersonate someone or something that you are not, and you can't create an account for someone else or a legal entity unless you have the authority or their express permission.
You must not sell, license, or acquire any account or data that has been obtained from Committed.
You must not engage in any activities that contravene with other users’ rights, including but not limited to intellectual property rights such as copyright infringement, trademark infringement, or selling counterfeit or pirated goods.
You must not use Committed in illegal, fraudulent, or illegitimate way, discriminatorily, violently, to harm another person or group or to harass other people sexually or in another way.
You must not violate the intellectual property rights of others, or commercially abuse the Content.
You must not misuse any reporting including inaccurate and groundless reports.
You must not collect information, data, or Content about other Users in the absence of their consent.
You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our site or any services provided via, or in relation to, our site.

Privacy

When you use our Services, we may collect and use your information. Our Privacy Policy outlines how we collect, use, and share information, as well as the various ways you can control your information. By using our Services, you consent to the collection and use of your information by us, as outlined in our Privacy Policy, including the transfer of this information to the Third Parties for such reasons as the provision of the Services.

No Reliance

The content on our site is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.

Although we make reasonable efforts to update the information on our site, we make no representations, warranties or guarantees, whether express or implied, that the content on our site is accurate, complete or up to date.

Suspension of Our Site

We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our site for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

Intellectual Property

Committed and its entire Contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by Pulse Dialect Ltd., its licensors or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. The material may not be copied, modified, reproduced, downloaded or distributed in any way, in whole or in part, without the express prior written permission of Pulse Dialect Ltd., unless and except as is expressly provided in these Terms.

In the event that you submit or post any ideas, creative suggestions, designs, photographs, information, advertisements, data or proposals, including ideas for new or improved products, services, features, technologies or promotions, you expressly agree that such submissions will automatically be treated as non-confidential and non-proprietary. Committed and its affiliates shall have no obligations with respect to such submissions or posts and may use the ideas contained in such submissions or posts for any purposes in any medium in perpetuity.

Limitation of Liability

We will act with professional diligence when delivering the Services. However, we do not take responsibility for loss or damage caused by incidents beyond our reasonable control.

Commited is provided to you "as is" and "as available" and with all faults and defects without warranty of any kind. Commited is not responsible for any content, code or any other imprecision. Commited does not provide warranties or guarantees. In no event shall Commited be liable for any special, direct, indirect, consequential, or incidental damages or any damages whatsoever, whether in an action of contract, negligence or other tort, arising out of or in connection with the use of the Service or the contents of the Service.

To the maximum extent permitted by applicable law, in no event shall Committed or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, for loss of data or other information, for business interruption, for personal injury, for loss of privacy arising out of or in any way related to the use of or inability to use Committed, third-party website, software and/or third-party hardware used with Committed, or otherwise in connection with any provision of these Terms), even if Commited or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation. Our liability in connection with or arising from the Services should be limited to the fees paid by you twelve months prior to the first incidence giving rise to the liability.

Committed is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Accordingly, those persons who choose to access Committed from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services may contain links to other Third Parties including applications, websites, products, and services not operated or controlled by Committed. We are not responsible for the content, accuracy or opinions expressed by these third parties and such they are not investigated, monitored or checked for accuracy or completeness by us.

We do not guarantee that our site will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programs and platform to access to our site. You should use your own virus proection software.

Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

We have no control over the contents of those sites or resources.

Changes to our Services and Terms

Committed reserves the right to modify, suspend or discontinue, temporarily or permanently, its applications, websites, or any aspect of its services to which it connects, with or without notice and without liability to you. Committed may from time to time provide enhancements or improvements to the features/functionality of its services, which may include patches, bug fixes, updates, upgrades and other modifications.

Committed reserves the right to modify its Terms as well as other policies including but not limited to the Privacy Policy at any time to the extent that the relevant framework allows. In this case, we will publish the new versions of the Terms on our website and we will also send an email to you relating to the amendments 15 (fifteen) days prior to the taking effect of such amendments.

Governing Law and Jurisdiction

These Terms and your use of Committed shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

You agree that any legal action or proceeding between you and Commited arising out of or relating to these Terms shall be brought exclusively in the courts of England and Wales, and you hereby accept and submit to the personal jurisdiction of these courts with respect to any legal actions, suits, or proceedings arising out of or relating to these Terms.

Prior to initiating any legal proceeding, you agree to make reasonable efforts to resolve any dispute, claim, or controversy arising out of or relating to these Terms through good-faith negotiations with Commited.

If a dispute cannot be resolved through negotiation within sixty (60) days from when one party notifies the other of the dispute, either party may commence legal proceedings in accordance with these Terms.

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provision shall be deleted without affecting the remaining provisions herein.

The failure of Commited to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

International Users

Committed is controlled and operated from the United Kingdom. If you access Committed from other territories, you do so at your own risk and are responsible for compliance with applicable local laws.

Compliance with Laws

Each party shall comply with all applicable federal, state, and local laws, regulations, and ordinances in performing their obligations under this Agreement.

Termination

This Agreement shall remain in effect until terminated by you or by Committed.

You acknowledge and agree that Committed may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally at Committed’s sole discretion, without prior notice to you.

This Agreement may be terminated immediately, without prior notice from Committed, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the app and all copies thereof from your device. Termination of this Agreement will not limit any of Committed’s rights or remedies at law or in equity in case of breach by you (during the term of this Agreement) of any of your obligations under the present Agreement.

Committed is entitled to delete or suspend a User Account with or without notice as it deems appropriate and to the extent that such action by us is compatible with the legal requirements. Even when your account is deleted or suspended, Committed can still use your data, or the Content shared by you to comply with its legal obligations.
